Check a security package and its registration dates
A lender is advancing further funds to a group that granted security across four companies over three years. The review maps what is secured, by whom, and whether every charge was registered within the period allowed.

- A security map with the registration positions comes back from one run before the next advance.
The problem
Step 01 of 05

Step 02 of 05
Map the collateral
Columns cover the chargor, the asset class, whether the charge is fixed or floating on the drafting, the registration date and the date of creation.

Run the registration check
Each charge's creation date is compared with its registration date, and one supplemental deed shows a registration outside the period allowed.

Read the collateral gaps
The newest group company granted no security at all, and the intellectual property held by the trading entity is covered only by a floating charge.

Take the pre-advance list
Action items cover the new debenture required, the specific security over the intellectual property, and the position on the late registration.
Replace the UK/Ireland/EU non-compete with a 3 to 6 month restriction tied to competing corporate-law work.
Replace blanket data consent with a lawful-basis clause and a separate monitoring notice.
Remove the five-day carry-over cap and reference the statutory carry-over rules.
Narrow the client non-solicit to clients dealt with in the final 12 months.
Add an explicit working-time opt-out withdrawal mechanism.
Confirm the bonus clause states the discretion is exercised in good faith.
What comes back
A document, not a transcript.
- A map of chargors against asset classes showing exactly what the package covers.
- A registration table comparing creation and registration dates, with the late one identified.
- Two collateral gaps: the unsecured group company and the intellectual property under a floating charge only.
- A pre-advance action list with the documents needed and who prepares each.
Authorities it checks
- Companies Act 2006, s 859A
- Companies Act 2006, s 859H
- Land Registration Act 2002, s 27
What it does not do
- It does not apply to court for an extension of time to register, and it names that as the step to take advice on.
- It does not run registry searches; it reads the results supplied and notes their dates.
- It does not decide whether a charge is fixed or floating in substance; it reports the drafting and flags the risk.
