Services Agreement

This Services Agreement is made on the Effective Date between Northwind Consulting Limited (the Supplier) and Contoso Holdings plc (the Customer).

2. Fees. The Customer shall pay the Fees within 30 days of receipt of a valid invoice. Late payments accrue interest at 4% above the Bank of England base rate.

3. Insurance. The Supplier shall maintain the insurances set out in Schedule 3 for the term and for two years after it ends.

4. Liability. Neither party excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law. Subject to that, the Supplier's total liability under this Agreement is limited to the Fees paid in the 12 months preceding the claim.

5. Term. This Agreement continues for an initial term of 24 months and renews for successive 12-month periods unless either party gives notice.

Apply puts it in the document as a Word tracked change, attributed to you, dated now. Skip leaves it alone. Accept, reject, compare, print with markup, send it to the other side: everything you already do with a redline still works.

Proposals land in the document the moment they are made, as tracked changes, and you accept or reject them in Word's Review pane. The card in the add-in becomes a receipt. It is off by default, it is per device, and the firm can remove it.

Answers that point at the paragraph

What is the notice period for non-renewal? Not less than 90 days before the end of the then-current term, ¶4. Click ¶4 and Word selects it. Where does this address data retention? runs a search and lists the matches. Every claim about the text points at the text, the way every authority in a research note points at its source. The same source list, the same verification gates and the same verdicts apply to any authority the answer cites. Word does not get a looser standard.

Summarise. Proofread. Tighten. Explain. Spot issues. Draft. Each is a prompt the firm can edit, hide or add to, in the firm's own words and house style. Your IT turns it on. Your firm decides what it may do.

The add-in is a manifest file, not software on the machine. IT deploys it to everyone from the Microsoft 365 admin centre, or any member installs it for themselves. Sign-in is the firm's own sign-in; the session is a token pinned to one workspace, expiring after 30 days by default, revocable by the member, the firm's admin or the platform. A firm admin chooses whether members may write into documents at all, whether tracked changes are allowed, whether documents may be saved to the workspace, which quick actions appear, and which agent answers. Above that sits the platform's ceiling: a firm can turn a capability off, never on.

How it works

Read, cite, propose. You apply.

Four steps, and the fourth one is yours: nothing is written into the document until you apply it, or until you have chosen to review it as a redline in Word.

    Read

    The assistant reads the open document through a tool, as numbered paragraphs with their styles. The pane shows the step: Read 6 of 6 paragraphs.

  2. 02

    Cite

    Anything it says about the document it says by paragraph. Click ¶5 and Word selects paragraph 5.

  3. 03

    Propose

    For each paragraph it wants to change: the full replacement text and a one-line reason, as a marked-up card. Nothing is pasted into the reply.

  4. 04

    You apply

    Apply turns Track Changes on, replaces the paragraph, and turns it back. Word records a deletion and an insertion, attributed to you. Or auto-apply does this the moment a proposal is made, and you review in Word.

What it does not do.

  • It does not accept or reject its own changes. A person does, in the pane or in Word's Review pane.
  • It does not read other open documents, your file system or your email. It reads the open document and, if a matter is chosen, that matter's workspace documents.
  • It is not in Microsoft AppSource. Firms install it from a manifest the product generates, through the Microsoft 365 admin centre for everyone or individually.
  • It runs in Word on the web, Word for Windows (Microsoft 365, build 2205 or later) and Word for Mac (16.61 or later). Not Word 2016 or 2019, iPad, Android or .doc files.
  • On an older Microsoft 365 build that cannot switch Track Changes on from an add-in, it replaces text plainly and says so.
  • Replacement text inherits the paragraph's style. Mixed fonts within a paragraph, fields and tables are not guaranteed.
  • Word records the replacement at paragraph level: old paragraph deleted, new paragraph inserted. The card shows a word-level diff; the revision is paragraph-level.
